Version 1.0 — last updated 2026-11-01.
Licensor: Arcadia:Design — Milano, Italy — VAT no.: IT10587830158 — info@arcadiadesignstudio.net
This agreement is provided in English and Italian. In case of discrepancy, for consumers resident in Italy the Italian version prevails.
1. Scope and acceptance
This EULA governs your use of Clip:Design (the “Software”), including updates the Licensor makes available under it. By installing, activating or using the Software you accept this EULA. If you do not accept, do not install or use it. If you buy through a sales platform (e.g. Gumroad), the platform’s own terms govern the purchase itself (payment, taxes, invoices), and the platform may act as merchant of record; this EULA governs the license to use the Software.
2. License
The Software is licensed, not sold. You receive a personal, non-exclusive, non-transferable, non-sublicensable, revocable (only as stated in section 11) license to install and use the Software on up to two (2) devices that you own or control (currently Mac computers; any future version for other platforms will be covered by the same limit), for your own personal or business use. The Pro license is perpetual (no subscription; it does not expire, subject to section 11). A reduced Free version (currently 9:16 output and the Karaoke subtitle style only) may be used without a key; Pro features require a valid license key issued to you. License keys must not be shared, published or resold. Only the Licensor owns the Software and all intellectual property in it; no rights are granted except those stated here.
3. Restrictions
You may not: (a) rent, lease, sell, sublicense or distribute the Software or license keys; (b) remove, bypass or tamper with license checks; (c) copy the Software except for normal installation and one backup copy; (d) reverse engineer, decompile or disassemble the Software, or create derivative works, except to the extent that mandatory law expressly permits it (for example, EU Directive 2009/24/EC allows decompilation for interoperability under strict conditions); (e) use the Software in violation of law or of anyone’s rights. Third-party open-source components included in the Software are governed by their own licenses (see THIRD-PARTY-NOTICES), which are not restricted by this section; nothing here limits any rights you have under those licenses.
4. Your content, outputs and responsibility
- Ownership. Clip:Design works on files you choose. You keep all rights you have in your videos, and you own the clips, transcripts, captions and other outputs the Software produces for you, subject to the rights of third parties in the source material. The Licensor claims no rights over your content or outputs.
- Your responsibility. You alone are responsible for having all necessary rights (copyright and related rights, licenses, trademarks, image/voice rights, consents of people shown or heard, music rights) for the content you download, transcribe, cut, caption and publish, and for complying with the terms of the platforms you publish on. Do not use the Software to infringe rights, to deceive (e.g. misleading impersonation) or to produce unlawful content.
- Downloads from third-party sites (e.g. YouTube). The Software can call the open-source tool yt-dlp to fetch media from URLs you enter. Downloading may violate the terms of service of the source site and the rights of its authors. Use this function only for content you own, content licensed to you for this purpose, or where the law and the site’s terms allow it. The Licensor does not endorse, monitor or control what you download and is not responsible for it.
- Automatic transcription and AI. Transcriptions (Whisper) and optional AI caption suggestions may contain errors, omissions or inappropriate wording. You must review all output before publishing. When you enable “Polish with AI” using Ollama (local), Anthropic or OpenAI, the caption text is processed by that provider under its own terms; you are responsible for your account, API key and usage costs with them.
5. Updates, availability and compatibility
The Licensor may provide updates, including security and conformity updates, and will inform you of them in the manner described on the product page or in the app. Your Pro license includes all updates and new features released within the same major version (1.x). A new major version (e.g. 2.0) may be offered separately as a paid upgrade, without affecting your right to keep using the version you licensed; security and conformity updates required by law remain available to consumers as provided by applicable law. The Software is designed for Apple Silicon Macs running macOS 13 or later. Third-party components (e.g. yt-dlp) depend on external sites that change without notice; functions relying on them may stop working at any time and this alone is not a defect of the Software.
6. Right of withdrawal (consumers in the EU/EEA)
If you are a consumer in the EU, you normally have 14 days to withdraw from a distance purchase. For digital content supplied immediately, the right of withdrawal is lost once performance has begun if you gave your prior express consent to immediate performance and acknowledged that you lose the right of withdrawal (Directive 2011/83/EU, art. 16(m); Italian Consumer Code, art. 59(1)(o)). Where the sales platform does not collect this consent and acknowledgement, your right of withdrawal remains. In addition, the Licensor may offer a voluntary money-back period as stated on the product page; it does not affect your legal rights.
7. Conformity and warranty
- Consumers. Nothing in this EULA excludes or limits the legal guarantee of conformity that applies to digital content under EU Directive 2019/770 and the Italian Consumer Code (arts. 135-octies and following) or any other mandatory consumer right in your country. If the Software does not conform to what was agreed, you may request that it be brought into conformity, and, where applicable, a price reduction or termination of the contract.
- Everyone else, and within the limits of the law. THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF TRANSCRIPTION AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE. Some jurisdictions do not allow certain exclusions; in that case the exclusion applies only as far as the law allows.
8. Limitation of liability
To the maximum extent permitted by law, the Licensor is not liable for indirect, incidental, special or consequential damages, loss of profits, revenue, data or goodwill, or for claims arising from content you download, process or publish. To the maximum extent permitted by law, the Licensor’s total liability under this EULA is limited to the price you paid for the license in the 12 months before the event giving rise to liability. Nothing in this EULA excludes or limits liability for willful misconduct or gross negligence, for death or personal injury, for liability under mandatory product-liability rules, or any liability that cannot be excluded or limited by law, nor the mandatory rights of consumers.
9. Privacy
The Software works offline on your Mac and has no telemetry. Personal data processing is described in the Privacy notice (PRIVACY), which forms part of this information.
10. Export and sanctions
You may not use, export or re-export the Software in violation of applicable export-control and sanctions laws (including those of the EU, Italy and the United States), or if you are on a sanctions list or located in an embargoed country.
11. Term and termination
The license lasts until terminated. You may stop at any time by deleting the Software. The Licensor may terminate the license (and disable license keys) if you materially breach this EULA (including key sharing or resale) and do not cure the breach within a reasonable period after notice, or immediately where the breach cannot be cured. On termination you must stop using and delete the Software. Sections 3, 4 (responsibility), 7, 8, 10, 12 and 13 survive.
12. U.S. users
If you are in the United States: the Software is “commercial computer software” and, if acquired by or for the U.S. Government, is licensed only with the rights granted to all other end users (FAR 12.212 / DFARS 227.7202). THE DISCLAIMERS AND LIMITATIONS ABOVE APPLY TO THE FULLEST EXTENT PERMITTED IN YOUR STATE. The Licensor does not sell your personal information. Copyright claims can be sent to info@arcadiadesignstudio.net.
13. General
- Changes. The Licensor may update this EULA for future versions of the Software, giving notice with reasonable advance (in the app or on the product page). Changes that reduce consumers’ rights do not apply without your consent where the law requires it.
- Assignment. The Licensor may assign this EULA to a successor of the business; you may not assign it without written consent.
- Entire agreement, severability, no waiver. This EULA (with the Privacy notice and third-party notices) is the entire agreement about the Software. If a provision is invalid, the rest remains in force. Not exercising a right is not a waiver of it.
- Governing law and courts. Italian law applies, without removing the mandatory consumer protections of your country of residence. If you are a consumer, you may bring proceedings in the courts of your place of residence; for all other users, the courts of Milan have exclusive jurisdiction. Before going to court, please contact info@arcadiadesignstudio.net to try to solve the matter amicably.

End-User Licence Agreement (ita ver.)
Versione 1.0 — ultimo aggiornamento 2026-11-01.
Licenziante: Arcadia:Design — Milano, Italia — P.IVA: IT10587830158 — info@arcadiadesignstudio.net
6. Diritto di recesso (consumatori UE/SEE)
11. Durata e cessazione
12. Utenti negli Stati Uniti
